General Terms of Service for the Use of Websites and Marketplaces

These Website Terms of Service (the "Terms of Service") govern your access to and use of the websites and online marketplaces operated by Equirig (the "Sites"). By accessing, browsing, or using the Sites, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree with these Terms of Service, please refrain from using the Sites.

1. User Categories

For the purposes of these Terms of Service, users are classified into three distinct categories:

Equirig reserves the right to refuse access to any user or category of users at its sole discretion.

2. Registration Process

To participate in transactions on the Sites, you must create a personal user account by providing your email address, phone number, and a secure password. Registration is restricted to individuals acting in a professional capacity and who are at least eighteen (18) years of age.

Registration Steps:

• Submit your registration request through the designated portal on the Sites.
• Await a confirmation email from Equirig acknowledging your registration.

Once your registration is confirmed, you will be classified as a Registered User. Equirig retains the authority to reject any registration request or suspend/cancel an account at its discretion without prior notification.

By registering, you affirm that all information you provide is accurate and complete. You also agree to update your account information promptly if any changes occur. Additionally, you consent to receive communications from Equirig using the contact details provided during registration. Any costs incurred (e.g., roaming charges) related to these communications will be your responsibility.

3. Seller Account Registration

To sell products on the Sites, you must also create a Registered Seller User account by providing additional required documentation and information. This registration process includes:

• Submitting necessary information as specified during the account creation.
• Submitting appropriate documentation as requested during the seller account registration. This may include proof of identity, business registration, and other relevant documents.
• Acknowledging and accepting the Terms of Service upon submission of your seller account registration.

Equirig reserves the right to verify the authenticity of the documents submitted and may request further information to complete the registration.

4. Privacy and Data Protection

Equirig prioritizes the privacy of its users and is committed to protecting your personal information. The collection, processing, and use of personal data are governed by our Privacy Policy, which is accessible on the Sites. By using the Sites, you consent to the collection and use of your personal data as outlined in the Privacy Policy.

5. User Obligations

As a user of the Equirig Sites, you are required to adhere to the following obligations:

• Compliance with Laws: You must comply with all applicable local, national, and international laws and regulations in your use of the Sites.
• Professional Conduct: Engage respectfully and professionally with other users and Equirig staff, promoting a cooperative and constructive marketplace environment.
• Prohibited Activities: The following activities are strictly prohibited: (i) Interfering with or disrupting the security, integrity, or performance of the Sites. (ii) Engaging in unauthorized data scraping, copying, or distribution of any content from the Sites. (iii) Uploading or transmitting harmful software, including viruses, worms, or malware. (iv) Falsifying any information, including misrepresenting your identity or affiliations. (v) Collecting personal information from other users without their explicit consent.

6. No transactions outside the site

Users must conduct all transactions exclusively through the Equirig Sites. Engaging in transactions outside of the Sites is prohibited. Should you encounter another user and arrange a transaction outside of the Sites, you are obligated to inform Equirig immediately.

7. Rights and Responsibilities of Equirig

Equirig is committed to providing a reliable marketplace experience and will exert reasonable efforts to maintain the availability of the Sites with minimal downtime. However, Equirig shall not be liable for any interruptions or downtime that may occur.

8. Intellectual Property Rights

Equirig, Inc, along with its licensors, retains all rights, titles, and interests in and to the Sites and all associated intellectual property rights, including copyrights, trademarks, and patents. Users are prohibited from copying, modifying, distributing, or utilizing any content from the Sites without prior written consent from Equirig or the respective intellectual property owner.

Users are granted a limited, non-exclusive, non-transferable license to access and use the Sites solely for their personal and non-commercial use. This license does not permit the resale of any content or use of the Sites for any unauthorized commercial purposes.

9. Limitation of Liability

To the fullest extent permitted by law, Equirig shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of, or inability to access or use, the Sites; (ii) any conduct or content of any third party on the Sites; (iii) any content obtained from the Sites; and (iv) unauthorized access, use, or alteration of your transmissions or content.

10. Indemnification

You agree to defend, indemnify, and hold harmless Equirig, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Sites; (ii) your violation of any term of these Terms of Service; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

11. Severability

If any provision of these Terms of Service is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be substituted by a valid provision that reflects the original intent of the parties.

12. Amendments to the Terms of Service

Equirig reserves the right to modify these Terms of Service at any time. Users will be notified of significant changes through a prominent notice on the Sites or via email. Continued use of the Sites after such amendments constitutes acceptance of the revised Terms of Service.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of United States of America, without regard to its conflict of law principles. Any disputes arising from these Terms of Service shall be resolved in the appropriate courts of United States of America.

14. Dispute Resolution

In the event of any dispute arising from or relating to these Terms of Service or your use of the Sites, you agree to resolve the dispute through negotiation in good faith. If the dispute cannot be resolved through negotiation, you agree to submit the dispute to binding arbitration in accordance with the rules of United States of America.

15. Language

These Terms of Service are executed in English. In case of any discrepancies between the English version and translations into other languages, the English version shall prevail.
